Terms of Service

Welcome to PayAny, a financial technology company providing services that allow you to exchange, pay, and save money. These Terms of Service ("Terms") govern your use of the PayAny platform and services ("Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

To use our Services, you must be at least 18 years old and capable of entering into a binding contract. By using the Services, you represent and warrant that you meet these eligibility requirements.

You are required to create an account by providing accurate and complete information, including but not limited to your legal name, email address, and payment information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to use the Services only for lawful purposes. You shall not use the Services in any way that violates any applicable local, state, national, or international law or regulation.

You are responsible for maintaining the confidentiality of your PayAny account information and password. You agree to notify PayAny immediately of any unauthorized use of your account or any other breach of security.

PayAny reserves the right to charge fees for its Services. Any applicable fees will be disclosed to you before you use the fee-based service. You agree to pay all fees and charges incurred in connection with your use of the Services.

You may be able to upload, post, or otherwise transmit content through our Services ("User Content"). You retain all rights to your User Content. However, by posting User Content, you grant PayAny a non-exclusive, royalty-free, worldwide, and transferable license to use, reproduce, and distribute your User Content in connection with the Services.

You agree not to upload, post, or otherwise transmit any User Content that:

(a) is false, misleading, or fraudulent;

(b) is defamatory, abusive, or hateful;

(c) infringes on any third party's intellectual property rights;

(d) violates any law or regulation;

(e) contains malware or any other harmful code.

PayAny reserves the right, but is not obligated, to monitor and review User Content. We may remove or disable access to any User Content that violates these Terms or is otherwise objectionable in our sole discretion.

You may terminate your account at any time by following the procedures provided in the Services. Termination of your account will not relieve you of any obligation to pay any fees or charges incurred prior to termination.

We may suspend or terminate your account or your access to certain parts or all of the Services at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users or to our business interests, or for any other reason at our sole discretion.

Upon termination of your account, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or invalidity thereof, shall be finally resolved by arbitration under the Arbitration Act, 1991 (Ontario). The seat of arbitration shall be Toronto, Ontario, Canada, and the arbitration shall be conducted in the English language by a single arbitrator appointed by agreement of the parties or, failing agreement, in accordance with that Act. Nothing in this section limits any right you may have under applicable consumer protection laws that cannot be waived by agreement.

Nothing in this Dispute Resolution section shall prevent either party from seeking injunctive or other equitable relief in a court of competent jurisdiction for any actual or alleged infringement of a party's intellectual property rights or other proprietary rights.

To the fullest extent permitted by applicable law, PayAny shall not be liable to you for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

(a) your access to or use of or inability to access or use the Services;

(b) any conduct or content of any third party on the Services;

(c) any unauthorized access, use, or alteration of your transmissions or content.

You agree to defend, indemnify, and hold harmless PayAny and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

These Terms constitute the entire agreement between you and PayAny regarding the use of the Services and supersede any prior agreements or understandings, whether written or oral, regarding such subject matter.

The failure of PayAny to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.

You may not assign or transfer these Terms, by operation of law or otherwise, without PayAny's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null. PayAny may assign or transfer these Terms, at its sole discretion, without restriction.

Any notices or other communications provided by PayAny under these Terms, including those regarding modifications to these Terms, will be given (a) via email; or (b) by posting to the Services. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.

This Agreement is executed as of the Effective Date by the duly authorized representatives of the Parties.
